There is a company incorporated in 2010.but it has not filied its annual reutrn till date.now one of the director of the company want to resigne from the company.
Is it possible?

the company is in default but he/she can resign from the directorship of the company.
The resigning director is also held responsible for such a default or all other acts, contracts, entered into by him/her during his/her tenure except he/she proves otherwise
