My question is

if a director desire to resign, and he gives his resignation letter to the baord on 25.05.2011 ( with effect from 25.05.11)

when the board meeting will be held on
1 - on 25.05.2011 or after or before 25.05.2011
2 - can board meeting be held on 30.05.2011

is it necessary to hold board meeting on the same date (25.05.2011) or not plz help with Board resolution format

06 June 2011 The co. Act does not make express provisions for resignation of director. A director may resign his office in the manner provided in the article..if the article does not contain any provision, he may resign his office at any time by giving reasonable time, no matter whether co. Accept it or not...a MD or WTD however, cannot resign merely by resign as his resignation is governed by terms and conditions of appointment, in this case formal acceptance is necessary....
Regarding board meeting thre is no time limit, it can be held at any time , not necessary same date.
