24 February 2016 In a Public Company, there was a executive Director. he was then appointed as Managing Director of the Company for 5 years. Now his Tenure of 5 years has expired. Is he still a Director of that company even after the expiry of Tenure or whether his directorship has cessed. And After the expiry of tenure of 5 Years as a Managing Director, We want him to continue only as a Director and not as Managing Director. Please tell me the Compliances to Resolve this matter.

26 February 2016 yes, he still be director of the company but yes he is no more be designated as MD. no need to file his re-appointment again. dir-12 only for change in designation from MD to director
