One of the direcotrs of the company wants to resign from directorship, only he has digital signature certificate, there is two directors in the company and one more will be appionted as a director.whether resigned can sign Form 32 for his resignation and appiontment of another

The person resignating cannot sign his Form. You will need some other director' digital signature.
If the new person to be appointed is appointed before the resignation of the person having digital signature, then the appoinment can be recorded with the signature of such person.
Since obtaining digital signature is not a difficult or expensive process, I suggest that obtain digital signature in name of a director who is going to stay with the company for a long time.
