Companies under the same management

hi...can anyone explain me about that 5 criteria which are required to be fulfilled by the companies to be called"companies under the same management" u/s 370 (1B)?

1 what is charge over assets?
2 assets here means only Fixed assets only or debtor and stock also?
3 what is first charge and second charge ?
4 If assets is of Rs.1000
Does it means 1st charge on cash credit account of Rs. 300
2nd charge can be created of Rs. 200 ?

Does it mean that way or Some other way???

Capital Gains

I had bought a under construction in mumbai in July 2004 (Registration / agreement date)and fully paid to the builder.
The possession however was taken in the month of Mar 2006 after recieving the possession letter from the builder. I currently stay in the same house.
I plan to sell this house now (Aug 2008) and invest the entire net proceeds into buying another house and wish to move there.
Need to know
1) Whether I would fall under the capital gains taxation or not?
2) Is the buying /selling date from the date of registration (agreement) or from the date of possession?

I had completed my CA foundation and CA inter under the old course in may 2001 and nov 2002 respectively.Under the old course i had to give my final exams in may 2004. I had registered for the exams but did not appear for them.
Now i want to give my CA final exams.Can I give the exams now ,after a gap of almost 5-6 years?Under the old course, i had also completed my 3 year articleship.

will be included in income or not

I am working for an organisation and i have to visit clint places on behalf of my organisation.I usually spent conveyance exps. during visit which are reimbursed by my organisation to the extent incurred by me.Will this reimbursement will be added in my income or not?
