One of my client applied for DIN, but, MCA not accepting the form, the error is that you had already taken DIN by the provided information.

Now I want to know that how to find the DIN number, as, I am not having the DIN and want to incorporate the company.

"a shareholder in the public company due to death does not remain to be member of the company, now his legel representative wish to become the shareholder of the company and had proper declaration sanctioned and approved by the court that he is the only legal representative of the deceased shareholders, whare the company refuses to do so because they are demanding succession certificate now what action undertaken by the shareholder so as to get the membership in the company?

If an auditor has been re-appointed in the AGM of a private limited company, but the intimation has been given to the auditors after 3 months . the auditors accepted the appointment on the receipt of intimation . will there be any panelty for late intimation , if yes , what?

1. can the preference shareholders are the member of the company and there name can be there on register of member?

2. Paid up share capital means?

equity+ preference or only equity shares?

is minutes of Board Meeting is required to signed with in 30 days?

and if the board meeting is prepared and entered under the minutes books according to section 193 (1) and signed in next board meeting, will it be accepted as evidence in court.

Dear All,

Our Company has signed balance sheet on 30.09.2012. Auditor's report is also signed on 30.09.2012.

As per the auditors they cannot change the signing date of the Balance Sheet and Audit Report.

Since, 30.09.2012 was Sunday, I cannot conduct AGM on Sunday.

Now, one solution left is I can file for extension of AGM. But I am afraid that the time limit has elapsed.

There is another solution, that I can pass notice of AGM to be held on 29.09.2012 and on that meeting it is declared that Accounts not finalised and so meeting shall be conducted on sunday 30.09.2012.

Please tell me the procedure or step for Redemption of Preference shares by a private limited company.

Whether we have to file any forms to ROC.

If private limited company had issued Preference share in 1998, then when it can redeem the preference shares.

Please do the needfull ASAP

URGENT....

A Director of the company has to make a declaration u/s 299 of the Companies Act, 1956 on the year ending 31st March in FORM NO. 24-AA, But if it is Sunday then whether we have to change the date like 1st April, or it is alright to show the same date as on 31st March, whether there is any provision regarding this or not in the Companies Act,1956.
(As on 31st March, 2013, it is Sunday)

if a promoter of a private is a foreign citizen of indian origin ie born in india but has now adopted citizenship of another nation-what is procedures to be followed in incorporation ?
