Question: In case of a Private Limited Company intending to buy-back its shares, is there a need to alter the Articles of Association if its silent on the buy-back clause? Do we need to check the Table A to ensure that it contains the buyback provision if the Articles mentions and I quote "Subject as hereinafter otherwise provided, the regulations contained in Table A in the Schedule to the Companies Act,1956 shall to the Company so far as they are applicable to Private Company, except so far as they have been impliedly or expressly modified by what is contained in the Articles hereinafter mentioned as altered or amended from time to time.

A Private Limited Company was Incorporated on 11/01/2013 and the Company appointed their First Auditor in their Board Meeting held on 09/02/2013 and Intimation of appointment was sent to the Auditor on 14/02/2013.

As per Company Law,First Auditor is appointed by the Board of Directors of the Company and he/she holds office till the conclusion of the First AGM of the Company.

Moreover, as per Companies Act,1956 the First Auditor is not required to send Intimation of acceptance to ROC.

Please Advise whether Intimation is to be sent to ROC by the Auditor as SRN of Form 23B is required to be filled in during filing of FORM 23AC by the Company.

If Form 23B is to be filed then period of accounts to be audited will be 11/01/2013 to 31/03/2013?

A company has given Corporate Guarantee to another co and has passed SR in GM as per Section 372A. Now the co wants to renew the CG in the next year. So does the co need to call a GM again and pass the necessary resolution?

A company has purchased car under hire purchase with a Pvt Finance company. Finance company has not insisted on filing e-form 8 for registration of charge. Is it necessary to file e-form 8 with ROC, though the finance company not insisted on the same?

I have initiated the process of incorporating a pvt ltd company with one of my business associate. I have following queries in this regard:
1) is it necessery to have a MD (managing Director)in a pvt ltd company or it can function with two directors as minimum numbers of Directors.
2) Does the salary need to be given to Director/s need to be mentioned in articles of association.
