sir I have a query. A non listed Limited company have four director and they are paying more then 11% of their net profit to them as remuneration.

Kindly help with the compliances as they have not done anything till now. Also they do not need CG approval.

Can a private limited company whose business activity is distributorship of Auto parts use the words '....Distributors Pvt Ltd'?
Is there any clause that such a company has to be started only with a minimum level of authorised capital? Can the authorised capital be Rupees 1,00,000?

A private limited company has 2 directors. Can we appoint 1 Additional Director and resign 1 Director in single Form 32?? The date of appointment and resignation shall be the same. And what if in case the dates are different.Kindly advice.

A pvt ltd company has 3 directors out of which 2 directors are shareholders of the company.

third director doesnot hold any shares nor involved in company matters.

can other 2 directors can terminate the third director by passing board resolution without receiving resignation letter from that director?

2. what resolution are required and format
3. whats forms has to filled
4. any minute format etc.
5. what correspondence with old auditor by company and new auditor.

I have filed Form 1,18,32 for incorporating a company. But I got the message of Resubmission with Remark "Rent Deed required" whereas in Form 18 I have opted the option for RO " Owned by Director(not taken on lease" and attached NOC from Director.
Still they are asking for Rent deed. If i am mentioning that the address belongs to Director and same is not taken on lease then how can i attach rent deed?Please help me what should i do in this case?

I am using Adobe Reader 9.5 for filling up the ROC Forms. While using the prefill Form 23AC and 23ACA, the cells that are supposed to be filled are not getting autofilled. The problem is appearing from today. I have proper internet connection as well. What might be the reason for such a problem?
