Can a person other than Director or Employee of company be appointed as authorised signatory of the company.

I want to know how a director of a company, being the managing director can resign his post and forgo his membership and walk out of the company with the investment and returns on it if any. the company is a pvt ltd company and total number of members is 7, registered in financial year 2010-11

Can a Pvt. Ltd. provide with unsecured loan to another Body Corporate, also being a pvt. ltd.,
And can a Pvt. Ltd. take unsecured loan from another Pvt. Ltd., Does it amount to Deposit U/s 58A. Companies are falling under the same management.

I have been asked to resubmit the E-form1 after correcting some minor errors. However, there is one error mentioned which i am not able to understand. The error read as follows:

"Proposed co may ask to delete architecture word MOA"

Please guide me what does this means and how to correct this error.
