I got the name of a public company approved via Form 1A from ROC. I mentioned 7 promoters/proposed subscribers to memorandum in Form 1A.

My query is -

1. Is it necessary that all the promoters/proposed subscribers to memorandum as mentioned in Form 1A should take some shares and sign the subscribers sheet to be attached to MOA and AOA.

2. Can any person who was not in the initial list of seven promoters/proposed subscribers mentioned in form 1A can subscribe to MOA and AOA. If yes is there any requirement of any NOC in that case.

3. Can a private company or partnership firm become subscriber to memorandum and articles of a public company. If yes, what are the formalities.

Please tell me the consiquence of delay in filing form -8 foe modification by 15 days??? Will I have to go for condonation??

I am not a CS Nor CA, actually i have some mess with my CA due to some reasons now I am appluing for my INC by my own, I am done with FORM 1 A and got name approved from them but i am getting problem in FORM 1 actually i have prepared MOA of 15pages but dont know about AOA and Having Some doubts in filling FORM 1 which was asking for

A) Authorized Capital which is 1Lakh and rest it was asking about No. of Equity Shares, amount of Equity shares and all that part

B) Subscribed Capital of the Co.

C) Main division of industrial activity of the company + Description of the main division

D)Particulars of payment of stamp duty, as ROC is Punjab and Chandigarh so don't know much about it

If any one can help me I can pay for that...

1 Loan sanction date
2 Date of Agreement of Title deeds deposited
3 Agreement of Hypothecation Date
4Agreement of Loan date

I need to know that Whether there is any need for ordinary resolution or special resolution which is to be passed for allotment of the shares?
As shares are Within our authorized limit.

Hi friends

We have a private co. whose main object is outsourcing, advisory, consultancy, IT enabled, direct sale agent etc. but now the directors want to also include the business of Healthcare, FMCG, & Dairy Products in their main objects.

So can company include this business in their main object alongwith the earlier main objects and secondly just a board resolution passed in this reference would be enough or some thing more is reqd. to be done.

Further the other objects only include dairy products clause. healthcare clause is not covered in the other objects so we have to take the procedure of change of object clause and if it is so please provide me the procedure of change of object clause.
