In Existing Pvt Ltd Company what are the procedure to appoint a director & when we requires to file Din 2 & Din 3

19 April 2013 First of all you hav to get DIN of that director.

1. hold BM, pass resolution as in line wid the AoA of the Company,
2. eFile for 32 wid RoC with in 30 days.

DIN 2 is the intimation given by Director about his/her DIN to the Company.

Every Individual intending to be appointed as director of an Indian company or the existing director has to make an application for allotment of Director Identification Number.
Once the DIN of the director has been approved and he has received an intimation of the same from the Central Government, the Director is required to intimate to all the companies in which he is a director of the DIN. Such intimation is to be submitted within 30 days of the date of receipt of intimation of the approval of the DIN.
Once the director has intimated to the company, the company is required to intimate to MCA within 7 days of the receipt of intimation from the director by filing Form DIN-3.

19 April 2013 Filing of DIN-3 is not required in the case of those directors appointed on or after 01/07/2007.

20 April 2013 Procedure for appointment of director

1. First collect DIN No. of proposed director and get it approved from MCA.
2. Collect consent letter from the proposed director. (Recommended but not compulsory)
3. Convene a Board Meeting for appointment of director
4. Download Form-32 from www.mca.gov.in
5. Fill form-32 and get it certified from a PCS/PCA and upload the same on MCA site for ROC filing with in 30 days from the date of Appointment of director (Board Meeting).
