A family owned public ltd co. BUT has paid up capital of less than 5 crores. The positions of MD, Dy MD & WTDs are filled up family members only who are drawing monthly remuneration.

My querry is - are sections 269, 309,310, sch xiii applicable to such a co. Do it need to comply with detailed provisions of said sections vis-a-vis managerial remuneration ? If answer is no - then what procedure it should follow regarding appointment/reappointment and/or increase etc of managerial remuneration.

Is board resolution sufficient for increase in the salary of Managing director within limit specified in schedule Xiii ,if at the time of his appointment members conferred power to Board to increase his remuneration within the limit ?

i want to close a company which has neither done any business nor file any return since its incorporation, Can i apply for closing under FTE and should i file annual filing before applying for FTE?

I have to make an entry of loan taken from directors or body corporates in which directors are interested The company is listed company. I want to ask is it required to take approval of board or I have to directly make entry in register within 30 days and after then presented before board???? The loan is within the power of board u/s 292.

One more thing that interest paid to director or body corporates agains loan taken also require to enter in register??????
