Our company has share application money pending allotment it is a private limited company. My query is is there any time limit within which the shares are to be alloted. Further can a private company convert its loans into shares.
If we are not alloted the share then any interest provision apply .

we are planing to convert a public limited company to private limited.
my doubt is, whether i need to take only one special resolution stating inserting the word "Private" in the company name; or, series of special resolutions to be passed for amending each clause of AOA to make it a private limited along with name change...??

Every listed company is required to obtain a user id and password from SEBI for Compliance with Scores, however I want to know
1. What would be consequences if a company not get the user id and password in due time.
2. Can company apply for the same after due date

can we utilize share premium account for issuing of bonus share, currently if company do not have equity share premium but have issued convertible preference at a premium (fully paid)

1. can security premium of pref shares can be used for issue of bonus
2. whether pref.shares need to be converted into equity share before issue of bonus share?

I have a confusion that if any company wants to use word "India" in between name of company while filling Form 1A whether minimum Authorized capital should be Rs. 500000/- or Rs. 2500000/-

Suppose the book closure is fixed on September 23 to September 30 for any FY (say 2010) and a person buys shares of a certain Company on September 22. Would he be treated as a shareholder for attending that AGM.
