2. when one company is incorporated one year ago, but that company is not running, now another parties wants running the business on that name,then another parties what process they shall do.

I m working for a Private company and we have 4 Directors whereby one of our senior Director has taken loan against showroom property in his individual name. Property is also in his name.
however, the repayment of loan is made by our company through Bank chqs.

Kindly advice me as what legal compliance i should follow and what should be the treatment for such transactions in the books.

This is sirisha,i want small clarification when one Company auditor name is some X person, but signed in documents relating annual returns of that company with the ROC by another auditor,
Is it accepted by the ROC?

Can Security Premium and amalgamation redemption reserve be used to issue
Bonus Shares in a Public Limited-Unlisted Company? Please note that such
Securities premium has arisen on *issue of shares on amalgamation*.

As per SEBI (DIP) Guidelines for Issue of Bonus Shares, Reserves (i.e., not
Free Reserves) not available for Issue of Bonus Shares are:

1. Capital reserve arising due to revaluation of assets.

2. *Securities premium arising on issue of shares on amalgamation or lake
over*.

3. Investment allowance reserve/Development rebate reserve before expiry of
4 years of creation.

4. Balance in debenture redemption reserve account before redemption takes
place.

5. Surplus arising from a change in the method of charging depreciation.


But I require the applicability of such reserves strictly for *unlisted
public companies.*

1) There is no full time Company Secretary, what type of statutory compliances required to submitted to ROC?

2) Which hidden provisions of company act attracts for 2 cr Authorised capital?

3) Whether capital in kinds (pre-incorporation expenses, assets contributions etc.) allowed or not? If yes what type of compliances required?

The company allotted 1000 shares on 31.08.2012 and 1000 shares on 31.03.2013. What should be the date of issue of share certificates?

My company is a public listed company and in this company Appointment of Md was done in 1997 for the perioud of five years which has expired in the year 2002.

Now we want reappointment of MD,will it create an issue if we are doing reappoinment after a long gap i.e. now in the year 2013 ?

Also provide me the procedure of Reappoinment of MD for a public listed co?

Please confirm that CG approval is required for apptmt of MD/reappoinment of Md is required only if the same is not according to Schedule XIII.?
