Query 1

A friend of mine is a Director in a private limited company (not a subsidiary of any company).

He proposes to resign from the directorship (the process of which, I am aware) and transfer shares to the new incoming Director (who shall take the shares).

May I request someone to elaborate the practical steps from the beginning from my friend’s point of view, his responsibility and the company’s responsibility as well?

A private company has paid up capital of Rs. 1.00 lac as on 31.03.2013, but it has on the date of AGM paid up capital of Rs. 11.00 lacs.

Whether the company has to file form 66 for the year?

Date of incorporation of comapny is 28th march 2013 paid up capital is 20lacs

my query is that how to consider 20lacs.. whether take all amount in cash from subscribers if not then how much amount to be shown in capital of company since 3 days balance sheet to be made.

If a private limited company has no Chairman or Executive Director, then any 2 directors can sign the Financial Statements. Whether the director who is signing the Financials should be the Chairman of the Board Meeting where the accounts got adopted ?

Query : We are incorporated a pvt ltd company on dated 10/05/2012 with paid up capital of Rs.1,00,000, 2 directors till date business was not started & nothing is happen. Directors are decided to shut the company.

Sir, is it necessary to pay the dividend through a separate Bank A/c even in the case of Private Limited Company (Closely held Company)as stipulated in Section 205 of Comp Act.

Is this condition is not applicable, if the Dividend disbursed in the same day where the AGM was held ?
