I have a doubt relating to compliance certificate.

We have unsecured loan taken from the related party of the company .

Now whether this will come under both Sec 297 and 293(1)(d) ???

The auditor of a pvt co resigned just before signing the audit report i.e on 15.08.2013 for FY 2012-2013. The question is- Can the EGM for appointing new auditor be held after 31.03.2013 for the FY12-13?
If yes, do it require to file form 23?

My query is that if we are submitting un-audited consolidated financial results of listed company to BSE, whether it is compulsory to submit consolidated statement of asset & liabilities or it can be standalone basis.

As per the new Companies Act, 2013, same changes is required to be reflected on Articles of Association of the Company.

Kindly, advise till what period Articles should be modified as per new rules and please guide/ give opinion how to re-draft the Articles. Major points which I need to be kept in mind.

If the Company appoints a Selling Agent for selling of all its scraps, moveable/immoveable items, surplus/condemned/obsolate materias, equipments, machineries etc. then whether such appointment will be regulated by Section 294 of the Companies Act, 1956? The definition of Sole Selling Agent or the nature of agency have not been mentioned in the Act.

Query 1

A friend of mine is a Director in a private limited company (not a subsidiary of any company).

He proposes to resign from the directorship (the process of which, I am aware) and transfer shares to the new incoming Director (who shall take the shares).

May I request someone to elaborate the practical steps from the beginning from my friend’s point of view, his responsibility and the company’s responsibility as well?

A private company has paid up capital of Rs. 1.00 lac as on 31.03.2013, but it has on the date of AGM paid up capital of Rs. 11.00 lacs.

Whether the company has to file form 66 for the year?

Date of incorporation of comapny is 28th march 2013 paid up capital is 20lacs

my query is that how to consider 20lacs.. whether take all amount in cash from subscribers if not then how much amount to be shown in capital of company since 3 days balance sheet to be made.
