in the name of firm only or we need to issue on the name of proprietor.

I have a client co. whose registered office is in Noida, Uttar Pradesh.

Please tell me the procedure of stamping of share certificates and what amount of stamp duty is required to pay on Rs. 100000 capital (10,000 equity shares of Rs. 10 each)in U.P and what documents are required to submit with the department if the company is a newly incorporated company.

I want to know
whether there is any requirement to file any form with MCA
as and when Private or Public limited company pass resolution
( whether Special resolution or ordinary resolution )

IF YES then
1. which Form is used to file such resolution

2. within which time period it must be filed

If say for 5 years a co-operative society has not prepared its annual accounts, then what consequences are faced by it???

What shall be the legal procedure against the director who fraudulently resigns another director from a company without his consent and appoints other person as a director? Can that CA who has digitally signed form-32 also be convicted for his unlawful work?

We have a pVt ltd co. having 2 directors/shareholders holding equal shares (5000-5000). Now one of them has given resignation letter.
So what is the procedure to appoint another director and how to transfer his share to new director.

And whar are the resolutions required and to be passed in which meeting.

Split and issued in lieu of Duplicate share certificate no. 38?

the original certificate no. was 16 (which was lost and a duplicate was issued bearing no. 38)
