08 October 2013 My client, a pvt ltd company, wishes to make restriction on transfer of shares . Kindly let me know the procedure for alteration of the articles of the company for the same & the exact wordings to be used for alteration of the articles.

Firstly you check Table F of the Companies Act, 2013. You should ensure that your article should not against the provision of articles read with Companies Act, 2013.

For alteration in articles of association, you will comply the provision of section 14 of the new Companies Act, 2013.For this you will pass a special resolution.
