A private company which was incorporated in January 2012 has not yet filed its annual forms. The Company financial year ended on 31st March, 2013.

As per section 166 the company has crossed its limit whereas as per section 210 the company has not crossed the time limit

Whats the solution??

Anybody has any solutions for registration a foreign company in India who want to set up a branch office in India.
1. What will be the procedure of registration of company to MCA?
2. Whether the company will be register by its original name or it will have to take a new name in India?
3. Which documents and how many copies would be required for the same?
4. If all the documents are submitted in English language than this documents would be certified by whom?
5. What will be the annual Compliance of this company after registration as a foreign company?
6. What will be the fees, expenses and time required for all this process?
7. Also suggest the name of consultant who can complete the work?

what if intimation u/s 224 is not received by auditors of the company within 7 days of AGM. But it is received after 6 months of AGM and auditor filled his consent to ROC within 30 day from date of intimation. Weather company is liable to any penalty for giving late intimation to auditors or not ???

What if intimation is not sent by the company to the auditors within 7 days of Appointment in AGM.

Can any one please elaborate what is the Provision for entrenchment given in Clause 5 (3)of the companies act 2013?

It is stated as:
(3) "The articles may contain provisions for entrenchment to the effect that specified
provisions of the articles may be altered only if conditions or procedures as that are more
restrictive than those applicable in the case of a special resolution, are met or complied with".

Dear Sir,
I want to know that in ROC E-form 23AC what value should we need to fill.i.e. if a company borrows Rs. 1 lac from its related party and subsequently repays it back.then should we feel the amount as Rs.1 lac or Rs. 2 lacs (Gross).
