19 October 2013 Dear Experts,

A private company which was incorporated in January 2012 has not yet filed its annual forms. The Company financial year ended on 31st March, 2013.

As per section 166 the company has crossed its limit whereas as per section 210 the company has not crossed the time limit

Whats the solution??

19 October 2013 Section 166 is to be read with section 210.

Accordingly, the AGM can be held upto 31st December, 2013.

In case of the First AGM, AGM can be held any day which shall not precede the day by more than 9 months from the ending period of the Profit and Loss Account.

23 October 2013 AGM DATE SHOULD NOT BE LATER THAN JULY.2013 (MAXIMUM GAP OF 18 MONTHS) AS COMPANY INCORPORATED IN JAN 2012. AS IT ALSO SATISFY THE CONDITION AS ADVISED BY CA ANKUR
