1.I want detailed procedure of the registering a Sec.25 company;my email id is mohd.gous@yahoo.co.in
2.whether we need to publish the general notice in newspaper for Sec.25 or not?
3.After Form1A, Form24A is to be filled but is there any need of physical verification of the documents?

Is it necessary to witness the subscriber table of MOA of a company in which all the directors and subscribers are foreign national and the same is also appaustile and notarised in that country?

I think only appostilasation is enough and we do not required to witness the table.

Please comment with supporting rules, notifications and case laws, if any.

What is profession tax?If the company is situated in punjab and registerd office address of Maharashtra.All the work is done in punjab only. Due to the address of Maharashra will the company be liable to pay profession tax.Can you please guide me.

Two persons wanting to incorporate a private limited company gave their CA, Rs. 1 lakh each by cheque in the CA Firm's name for Incorporation expenses. The company was incorporated with total ROC expenses of Rs 1.5 lakhs.

What should the CA Firm do with rest Rs. 50000.Should it withdraw it and give it to two directors or make cheque in the name of Company? What entry should the two directors make in their personal books of accounts and in the books of newly incorporated company for Rs. 2 lakhs paid, since they have subscribed shares of Rs. 1 lakh each?

If a company issue debenture for 2 years term & voluntarily want to create DRR of 100% of the amount of debenture in first year So can it do so?

“A” is Managing director in ABC Pvt Ltd which is 100% subsidiary of foreign company. The foreign company also holds 40% shares in another company say WXY Pvt. Ltd. There is no transaction or any direct link between ABC Pvt Ltd and WXY Pvt. Ltd.. My query is can “A” be appointed as an Director in WXY Pvt. Ltd. is any constraint or what is it impact of it on ABC Pvt. Ltd. And what are the compliances required for it.
