Is form 23 B to be filed for branch auditor separately where Branch auditor is different and accounts will be prepared on consolidated basis.

I have filed form 1 for registration of a new company on 07/01/2014.

I got a resubmission message with following errors

1)Pvt. Ltd. defenition should be as per C.A. 2013. ii). S/o OR D/o of details in respect of subscribers and witness are to be written in the execution pages.

a)how should i rewrite the aoa with defenition as per CA 2013?can you provide the format for this.
b)whatis meant by execution pages.
also please provide a format for this also

there is a private company in which there is only 2 directors, now company wants to appoint 2 new director in place of existing. is it possible to appoint 2 additional director in Board meeting?
and if yes... then it is possible to regularize both additional director in EGM and accept resignation of existing directors in same meeting.
please suggest me the procedure of the same.

1. The Company is a private limited company inorporated in dec-2013 withe authorised share capital of Rs. 1 lac now it is to be increased to Rs. 28,00,000/- fully equity shares only.

Whether the company promoter have to bring in the initial capital from their own fund or from the overall capital from the shareholders of the company. If suppose there are two promoter for the private company then do they have to bring in 1 crore each for the NBFC registration?

One of the group pvt Ltd company has lent sum to another group Pvt Ltd means defaulting section 185 of Companies Act 2013. I know i am free now to take the shadow under section 372a of Companies Act 1956 but assuming that 2013 act is fully applicable and 1956 has been repealed compltetely.

Can you pls suggest how to comply with section 185 now?

Is it exempted for fy 2013-2014.and can file within 60 days after 18 months due date of AGM or it is required to file for every financial year.I also like to ask about income tax return if company is not granted with 12A and 80 c certificate then income tax is to be filed for every financial year after incorporaton.
