i wanna know procedure of appointment and resignation of director in EGM in private company.please reply its urgent.

13 January 2014 Conduct a Board Meeting and appoint and appoint Directors as Additional
Directors and at later stage take the resignation of Directors who are not willing
to continue with company..
Alternately you can conduct the EGM and appoint Directors. Section 256 and 257
is not applicable to pvt ltd company. so by passing ordinary resolution, u can
simply appoint Directors in EGM/AGM

13 January 2014 Hello Yogesh sir,

i have a question...
there is a private company in which there is only 2 directors, now company wants to appoint 2 new director in place of existing. is it possible to appoint 2 additional director in Board meeting?
and if yes... then it is possible to regularize both additional director in EGM and accept resignation of existing directors in same meeting.
please suggest me

firstly you have to appoint new directors, then only you can accept resignation of existing directors

13 January 2014 but sir we are accepting the resignation in EGM and appointment of additional director is in Board meeting which convened before EGM
