i have doubt regarding the distribution of dividend. suppose if a company has no revenue profits but there is profit from the sale of fixed assets. in this case profits are available with the company in cash. so can the company distribute the profit in the form of dividend.

Section 185 0f the Companies Act,2013 replaces Sections 295 and 296 0f the earlier Act has been notifued.However,Section 186 of tyhe CompaniesAct,2013 which replaces Section 372A of the earlier Act is yet to be nofied.
In viewv of the above,what is the position regarding aPublic Limited Company giving a Corporate Guarantee or Security for a Bank Loan to another JV Company in which certain Directors are common and majority shareholding is of a wholly owned subsidairy of the Public Limited Company?

A company which has incorporated on 2010 has not done any business and hence not filed annul returns with the roc. But the status of the company is active in mca site.

Since the default is made for more than 3 years are the directors are disqualified.
How they can come out of this disqualification.

Now the company wants to change its name and start its business.

What are the remedies in this situation?

if a company wants to give its assets as security in form of guarantee to other company will it covered under section 185 or will it be termed as inter corporate investment as section 186 under companies Act, 2013.
