Recently we had incorporated a company,for that we had filled form 1,form 32 & form 18.

My doubt is how to find company incorporation status at ROC site using SRN..

I am working for a private limited company and the directors want to increase the authorized share capital and make some change in the main object clause. There are two director in the company holding 92 % shares and and 4 shareholders with 8 % shares. A shareholder with 2 % shares is against these changes. Is it necessary to send the notice for passing resolutions and whether his presence is necessary for voting rights while holding general meeting. Plzz help

1. Is "Business Solutions" words can be incorporated in the company name with the capital value of Rs. 1,00,000 or we have to increase the Capital Value.
2. What is the procedure for name change and how much fees we have to pay.
3. How can we update the new name in PAN and Service tax department.

i have doubt regarding the distribution of dividend. suppose if a company has no revenue profits but there is profit from the sale of fixed assets. in this case profits are available with the company in cash. so can the company distribute the profit in the form of dividend.

Is subscriber a permanent member of the company? Will his name be cancelled from the register when he transfers all his shares to an outsider? Will he be able to vote in every general meeting by show of hands, even after he has transferred his shares to an outsiders?
