managing director of a private limited company has to resign from his directorship as MD as he is being appointed as MD in another company. But in the original company he has to continue as director. Kindly suggest the course of action for this and resolution and number of form 32 to be filed.

MD of a unlisted Public company has requested company to make the payment on behalf of him to the vendor for the purchase of plot of land(MD Personal) and deducted from the remuneration accordingly by the company.
My query in this case, what are the ideal formalities to be completed before proceeding for the payment by the company to commensurate with Companies Act,1956.And also please provide me with the difference,if any, in amended provisions as per Companies Act,2013(Amended)

In a Pvt Co.,there are total 2 Directors.
And one fine day two additional directors are appointed. And on the next day of appointment those initial 2 Directors were resigned.

After resignation, the company is left with 2 Additional Directors.

My query is Can a company carry on with only Additional Directors with no Director?

There are two director in the company holding 92 % shares and and 4 shareholders with 8 % shares. A shareholder with 2 % shares is against these changes.
