Resignation of managing director

managing director of a private limited company has to resign from his directorship as MD as he is being appointed as MD in another company. But in the original company he has to continue as director. Kindly suggest the course of action for this and resolution and number of form 32 to be filed.

MD has to send his resignation from the post of MD addressing to the Board of Directors.The board will approve and pass resolution like "Resolved that the resignation tendered by Mr.Ms.______ from the post of MD is be and hereby accepted.'
'Resolved Further that the Board takes note of excellent and Sincere services rendered by mr.Ms. during the tenure of his /her services.'
'Resolved Further that Mr.________ be and is hereby authorised to file requisite Form with the registrar of companies."
Form 32 is to be filed.please take note that section 269 of the Companies Act 1956 does not apply to a private Company which is not subsidiary of a public Company.

but the outgoing managing director will continue to be hold position of director in same company. the issue is he will resign from post of MD and would take post of director in the same company. Kindly suggest resolution for this and for form 32 also.
