Comparision between companies act 2013 and the old company act relevant for exam in Nov 2014

I want to file Letter for appointment of Auditor, as per the Companies Act, 1956 the appointment will be made in Form-23B, but now there is no any form available on MCA portal, then how can we file the same

In case of Resignation of Director Form DIR-11 is required to be filed. In this Form 1 Attachment is Compulsory Proof of Dispatch ? What is this ? and if Resignation Letter is given by Director to the Company by Hand then what is the Proof of Dispatch ?

At the time of initial subscription of shares (first allotment of shares at the time of incorporation of company) whether Section 62 is applicable?? If the existing auditor completes one year term during the coming AGM,for how much period at a time it could be proposed for re-appointment?He was for the first time appointed in the last AGM?My view is that it would be eligible for reappointment for another 4 years i.e upto 2017-18?

A Comapny has changed its registered office/ directors & has increased its authorised capital by passing resolution on 26.03.2014. But due to changes in MCA site relevant forms were not available for filling till 28.04.2014. Now whether all relevant forms for aforesaid changes will be submitted without late fees or with late fees as delay was due to only forms were not available on MCA site
