Can we use word "INDIA or BHARTIYA " for applicailty of name for reservation for a pubLic limited company

Whether appointment of managing director is compulsory in case of private limited company having authorized, subscribed and paid up share capital Rs 100.00 Lakhs?

If yes then what is the procedure?

Also give the model resolution to be passed?

If appointed then whether such appointment need be filed with MCA? If yes, then the e-Form and time limit?

If appointment is not compulsory, then how to appoint MD voluntarily in a case where 2 directors themselves are the shareholders in a private limited company.

What are the provision regarding retirement of MD so appointed?

My question is that if a director of pvt limited company signed any documents/govt documents,whether he is liable for all documents for mentioning his din number or it is only responsible to mention din on documents submitted with govt authorities.

Can auditors report b taken as read at the AGM under the CA,2013?

If first auditor is appointed by Board and he completes his tenure of one year, then whether he would be appointed for 4 yrs/ 5yrs , in first AGM as to comply section 139?

Dear Experts,

My Question is based on the issue that, According to, Explanation of Section 152(6) of the companies Act, 2013 for Retirement in AGM,Independent directors shall not be counted in Computation of Total Number of Rotational Directors & now our Company has 10 Directors out of Which 5 are Independent, 3 are Managing Directors and 2 are Whole Time Director form which one WTD was re-appointed in the last AGM , so now my question is whether MD be counted in total number for computing the Rotational Director or and how many directors should retire by rotation in the next AGM is that necessary that the Board should make appointments in the AGM for more WTD's

I have filed form 23 C on 26 th June 2014 and challan of Rs 20,000 has been paid against it for the appointment of Cost Auditor for the FY 2014-15 of my company and after that it has come that form 23 C is not required to be filed .And status of my form is still Work in progress .So ,I am not getting how to proceed .and how to get refund .
All are requested to kindly guide .
