I am the managing director of xyz pvt. ltd. company. I have a piece of land which I have rented to xyz pvt. ltd company. My query is
1. Can I take non refundable advance from xyz pvt. ltd. against my rented land.
2. Can I as the Managing Director take advance/loan from xyz pvt. ltd.

Is it mandatory to have a Form 66 filed by a Company Secretary? Would not a Form 66 digitally signed by the director of the company be sufficient, instead of the CS's signature?

The Signatory Details of the Company, incorporated in 2005 (With 2 Directors) is not displaying in the MCA portal. As per MCA records there is no Director for the Company as the Company has not filed DIR-12/DIN3. The DIN of the director has been applied for recently. The company is in the dormant status and any Form filed on the site is rejected due to Signature Validation errors. Please provide a solution for normalising the dormant company as Form GNL-1 is not getting uploaded due to signature validation errors.

A Pvt Ltd. company Already appointed a Statutory Auditor for the F.Y.2013-14. Now company want to remove the existing auditor and appoint the new auditor.
i want to know what is the procedure under company act 2013 for removal of existing auditor and appoint of new auditor and what form to be filed with ROC in this regard.

Dear All,

A listed company has conducted the voting through e-voting platform for its AGM. As a scrutinizer's report is required under section 108 of CA, 2013 and also a report from scrutinizer is required under section 109 for demand of poll. and then a combined report is handed over to the chairman.

Now, in my case. E voting is done resolutions are passed. But on the date of AGM only 1 shareholder attended the AGM and that too didn't demanded poll. In this case;

1. Whether Report under section 109 is required to be given by scrutinizer.
2. Does only E-voting report under section 108 will solve the purpose.

A Pvt Ltd. company is incorporated on 22.08.2014 having 2 directors,they are also the subscribers. after five days the dispute arise between the director and one director has submitted the resignation letter dated 01.09.2014.

Now my query is that how the other formalities like first board meeting, allotment of shares, filing of INC 21, 22 will be done.

i want to know the basis on which fees has been charged for filing of form MGT-14. Whethet it is based on paid-up share capital or something else. please clarify it. And one more thing which i have noticed that while filing these forms some require dsc of CA while some not. So, please clarify this issue.....asap.
