01 September 2014 Is it mandatory to have a Form 66 filed by a Company Secretary? Would not a Form 66 digitally signed by the director of the company be sufficient, instead of the CS's signature?

01 September 2014 Compliance certificate is to be give by CS in practice. Attach Compliance certificate in form 66.

There is no need to get form 66 signed by CS in practice as digital signature of Director on form 66 is enough.

But Compliance certificate u/s 383A is to be given by CS in practice.

02 September 2014 If the director can sign the Form 66, which is itself the compliance certificate, then in that case will it be necessary for the company to obtain a Compliance Certificate (hard copy) from a CS in practice?

02 September 2014 In case provisions related to compliance certificate u/s 383A read with compliance certificate rules are applicable on your company, then you have to obtain compliance certificate from a practicing CS.

A company having paid up capital of Rs. 10 lacs or more but less than Rs. 5 Crore shall obtain compliance certificate from practicing CS.
