My all queries relating to a company having a share cap of Rs.10 lakhs(Authorised) & Turnover of Rs.1.5 Crore.
1) If a auditor was a auditor of a company for the last 7 years, still can he continue with co. as the auditor.
2) if yes, then whether his appointment in this AGM be for a term of 5 years, as the rotation of auditor is not applicable to this co.
3)In both these cases, which form has to be filed by the co. with the roc.

In Form MBP-1, for the column Nature of interest or concern / Change in interest or concern, is it appropriate to mention ‘Director-cum-Shareholder’, if the person is a Director and also Shareholder. (If the person is just a Director, it is to be stated as ‘Director’ and similarly, if the person is just a Shareholder, it is to be stated as ‘Shareholder’).

In Form MBP-1, for the column Date on which interest or concern arose / changed, is it appropriate to mention date of appointment in respect of ‘Director’ and date of purchase of share in respect of ‘Shareholder’.

As per Companies Act, 2013 , Statutory Register should be maintained in new format , 1. pl. guide me whether entries to be made for events happened after 01st April 2014 or all previous entries should also be done.

CAn 3 Non Indian Citizens form Indian Company ( Private Limited)?? Is it manadatory to have an Indian Citizen as a director ?

Which forms will applicable for FY 13-14.
what process should be followed.? if the company is incorporated 24-2-2014 what will be the due date for filling annual forms?

we appointed one person as additional director in a private limited company and now want to appoint as regular director my two queries.

1. Can we appoint as regular director not liable to retire by rotation ?
2. whether it is necessary to accept deposit of Rs.1,00,000/- from such person

First of all, let me apologise you all for deliberately posting in a wrong forum. I did this to reach large numbers of qualified CS professionals.

On 25th August, 2014 I completed my CS. I just want to know whether getting a job in a corporate house in Mumbai for an entry level qualified CS with just 15 months of Management Training experience difficult ?

Please guide me so that I can get a job as soon as possible. I don't wish to work with a PCS as they pay poorly and micro-manage more. Even they don't treat well.

I have not yet got my membership number as MSOP (previously known as SMTP) is yet to be completed. I have not done my LLB. Will this be an impediment ? I have planned to start it from next year.

i want to ask that if a company want to issue new shares to persons other than existing share holders whether company is required approval of existing share holders as per new companies act 2013

In case of Private limited company having paid up capital not more that 10 lacs and no borrowing , Auditor to be appointed for a period of 5 years and whether his remuneraion to be fixed at AGM or give authority to Board of Directors for deciding remuneraion ?
