pls let me know the restrictions on director remuneration on closely held ltd company(not listed) as per new companies act

In 1 of the private limited company salary is paid to 3 relatives of directors. Is there any compliance required like special resolution, approval in AGM or intimation to ROC. It also desires to get a rented property from a relative of director. Guide regarding the compliances.

Can anyone please tell me about FORM MSC-1,3&4.I want to activate one private limited company.In the above 3 forms which form i have to selected.

I am working with a Company and it has received a letter from RBI saying its an NBFC. Whereas it is not an NBFC. Can anyone please send me the draft letter so that i can reply to RBI saying that the Company is not an NBFC.

A Pvt. Ltd. Co. is in existence since 1998 and has the same firm of auditors since inception. It does not fall into the class of companies prescribed u/s 139(2). It will reappoint its auditors in the AGM. Will it be an appointment for the next 5 years or will it be a simple reappointment till the next AGM ? What would be the resolution to be passed at the AGM ? Will it mention that XYZ & Co., Chartered Accountants are being reappointed till the conclusion of 6th AGM from this meeting or will it say that the CA firm is being reappointed till the next AGM ?

hello guys i have 2 question:
1) is private placement applicable to private company??

2)if ans is yes dn plz solve my doubt:
suppose Mr A is the director of the co say XYZ ltd whos authorized capital is 1cr and paid up capital is 47.5lac
nw company has issue to shares to 3 people or rs 17.5 lac ie Mr A(who is Director of the company)
Mr B(an outsider)
and Mr C (an outsiders)

nw my question is:
is private placement is applicable to xyz ltd??

and can director can issue shares to himself??

I want to see balance sheet, PL Account, MOA, AOA, Charge etc of a private limited company. So please suggest me the procedure to see these all on MCA official website.

dear sir, please tell me fy.2013-14 mgt-7 apppicable or not?

Can any one help me?? We are now incorporating a new company. 24th November 2014 was the last date for filing INC 7, INC 22, & DIR 12. Then it asked for resubmission as the address of the promoters/Director in the MOA & the INC 7 is not matching. So we resubmitted after correcting the error. The next day when we track status it says that the form is invalid & not to be taken on record. The reason is that one resubmission has exhausted & form found to be deffective & invalid!!! So what is the solution for this problem as 5th December is last date for resubmitting. Hope any one will give a solution
