I have a query regarding fee for FORM-FTE
"Is fee form FORM-FTE is same for all closing companies or is their any difference".
Acctually i am closing some companies their is difference in fee for one company to other company.
Can any member please clarify my doubt.

I have incorporated a company with 2 directors and i have issued shares of 5000 @10/- to each director.Now i have added 2 more directors and want to issue shares to them at premium, 5000 Shares @100/- (90 Premium).my question is whether i need to collect premium amount from old shareholders also or i can continue with new shareholders.

Re: Appointment of Auditors

1. Individiual auditor means Proprietory firm ?
2. A small company has appointed a Proprietory firm since 2008-09 , is it the retiring auditor is to be appointed for 3 years ?
3. As the rotation is not applicable to small companies, shall the same auditor can be re-appointed as was being done earlier. In that case can we write in the AGM Notice (Y.E.31.03.2014) : To appoint Auditors and fix their remuneration.

what will the date of First AGM if a company incorporated on 28/01/2013? and

I have registered a Pvt Ltd co in 2000 and since 2005 i have not filled Annual Returns.

No directors have obtained DIN nor filled DIN II.

Even registered address change in 2006 is not informed.

What will be the penalties.

I want to add a new employee who will be appointed as a Sales Manager in a Private Limited Company who is also a relative to the directors & share holders, in such a scenario what is the maximum salary can give given to the employee.
