i have got a re-submission direction with the following comment :
Affidavit has not furnished by the directors as per the Ministry's circular dt.29.5.2013

can someone help me with the circular dt 29/05/2013

Directors of company A are neither directors nor Members in Company B. However one member holds 46% shares in company A and 99% in company B and He also a Director in Company B. Whether Company A can offer corporate Guarantee as per section 185 of the companies act 2013

A Director of Pvt Ltd Co not filed any returns for FY 2010-11, Fy2011-12, Fy2012-13, FY 2013-14 now i want to know whether Director is disqualified if he Incorporate new company and become his Director???

What will be the situation if he closes the old company by Easy Exit Scheme and incorporates new company???

Pls guide whether MGT-14 for Board Resolution passed for re-appointment of WTD required to be file for the Unlisted Public Limited Co's in which KMP's U/s 203 not applicable.

If required under which section?

The Companies Act 2013 prescribed Share Certificate form No.SH-1. The shares allotted after 1.4.2014 will be issued in SH-1. But for the existing shares which were already alloted and share certificates issued-is it required to cancel the old ones and issue certificates in the New SH-1. Please clarify.
