Can a subsidiary co give guarantee for loan taken by holding company?

As per latest exemptions the pvt ltd. co can taken unsecured loan from its members subject to 100% of its paidup share Capital+ free reserves.
My questions are -
1. from when this will be applicable; is it applicable for transactions for fy 2014-15

and

2. Any conditions for availing this exemption my mean to say a pvt ltd company having any type of shareholder category including body corporate, firm, individual can avail this exemption or any stipulations for that.

Is it correct that we dont need to file compliance certificate from F.Y 2014-15. that we used to do in eform 66.

Am I required to file MGT-14 and upload a copy of resolution passed at the General Meeting(EGM).

In a Pvt Co., where rotation of auditors is not mandatory, the auditors were reappointed in AGM in September, 2014 for 1 year instead of 5 years. Can the auditors now be reappointed for 4 years in the AGM in sep, 2015 or is there any other recourse ?
