In the Statement in lieu of Prospectus for a limited company, preliminary expenses details are to be mentioned. Whether the expenses of only upto incorporation are to be included in such preliminary expenses or the expenses on getting the businesses commencement would also be included in the preliminary expenses

in our co the charge has been created of Rs. 9.5 crore with ICICI Bank in 2006. and in 2007 it has been reduced to Rs. 8 crore and then after some time to Rs. 6.5 crore and the co has defaulted in filing form 8 with ROC for modification in charge with in the time limit.

now the point has came to know, please let me know how should i go for CLB approval? what are the other compliances and is there any other alternate to come up with this situation?

I am filing form 32 here one doubt arised that is the company has 2 directors one director died on 09.03.2009 my doubt is 1. which date I mention in form 32 ? (cessation effect date)
2. date of the appointment of the new director? (can I mention the date 15.03.09)
3. when the company hold a board meeting?

our co is a pvt. jointventure co. in which foreign stake is 51% and indian stake is 49%. our authorised capital is 14 crore including 8 lakh pref shares of Rs. 100 each. and issued & paid up pref shares are 460333 shares of Rs. 100 each.

now our co wants to increase its issued pref shares for meeting bank related requirement of Rs. 1.5 crore.

now pls tell what compliances i should follow for issuing further pref sahres and to what extent i should issue pref shares? how should i calculate the no of shares that should be issued?

and also tell all applicable forms and amount of stamp duty applicable in Mumbi for the same.
