1) Minimum Directors Remmuneration which does not require Central Govt permission.

2) can a Company pay remmuneration to their Directors more than 3 Directors & to all Executive Directors.

Is there any restriction on the nos of Directors

In our case we lost the FIRC of foreign remittance and the transaction was done in the year 2000, 2001. Bank denying to issue duplicate FIRC as the matter is old before 8 yrs not hv record.

And v hve to comply with RBI pendng procedure that filing of FC-GPR. BAnk is not giving us any evidnc of remitance and still v cant file FC-GPR ...

Please confirm whether EPS arrived out is in order.

What are the consequences of not filing the Form 23B by the statutory auditor of a Private Ltd co.,?

as per section 269 of the companies act 1956, a return in form 25c is to be filed with the registrar within 90 days of such appointment.
my question is whether duration of 90 days is to be calculated from the date of appointment or from the date of board resolution and what is the penalty for late filing?

Recently i made an INCORPORATION application of a company to ROC & theapplication was rejected on the ground that INVESTMENT cannot be the Main OBJECT of a NON-NBFC company....

Any one knows how a company can make any investment in securities of another company.... is thereany requirement of amending MOA of investing co.

Is their any restriction in this regards...?

When a Company alters name/capital,then it needs to submit altered copy of AOA/MOA, then which e-form is used for this submission ?? Whether it can be filed as an attachment to eform 23(Name Change)or eform 5(Capital Change) or e-form 62 ???Pls guide.....

If the financial Accounts have been audited and any adverse remark has been given by auditor,then will it appear in Compliance Certificate given u/s 383 A of the Companies Act.If it comes then how it is presented there.
