03 November 2009 Some resolution in company law required to be passed with shareholders approval. Such shareholder's approval can only be taken through a general meeting.
Example : Resolution for alteration of article of association.

Some resolution in company law required to be passed with board of directors approval. Such board of directors approval can be taken through a board meeting.
Example : power to borrow money etc.
