I have one company having two director. presently one director is no co-operate and he is having 65% of shares.

year 2009 is closed and company has not filled its income tax returna nd roc return due to not sign the document by the director.

tell me how to we have remove this director and how to file the return.

secondly how to appoint another director?

pls tell me asap.....

In Annual Return of a Company, in which catagory we can include Alternate Director.

ABC Private Limited needs to file Compounding Application u/s 621A to compound the offence committed u/s 211 - Part II - Schedule VI.

I may request the Experts' to provide me the checklist, if possible along with the specimen for compounding application.

I case of Annual Return to be attached with Form 20B in the Last Section of Certification
Clause G states "The company did not have an average turnover of Rs. Ten Crores or more during the relevant period"

How to deal with this in case of companies having T/O above the said limit?

ABC Private Limited declared a dividend at 10% on the equity shares of the company in the last AGM held on 17.09.08.

Accordingly, payment also made to the shareholders.

Now, my query is : whether any e-form is to be filed for the said transaction.

For increase in authorised capital form 5 has to be filed.

than for decrease in share capital with court approval what form has to be filed & when.
