hello everybody,

My company is a private limited company registered under company act 1956 and now i want to establish a branch in usa. can some body tell me process of establishing branch in usa.

We have applied a name of Pvt. Ltd. Company with two promoter directors. But after the name approval one of the director is not ready to become the director of the company.

What can we do to incorporate the company with the name approval of company with these two directors.

Can we take no objection from that director and subscribe a new director to MOA and AOA and file his no objection with Form-1.

Please solve our problem.

If there is a co.is registerd u/s 25 of the Co's act(as a Trust) & having 12A Certificate still to be recived from Income Tax Dept.
please let me know that the above company can take the donation from any partnership firm? if yes then what is the amount ??

Company incorporated way back in 2000
any change in director shud it use DIN form series or Form 32 can be used?
(Form 32 states f"or existing/newly incorp company")

FOR 6TH NAME AND FOR MANUFACTURING ACTIVITY IN OBJECT CLAUSE CAPITAL LESS Form should be resubmitted.

What does ROC mean saying the above clause?

Can we revise the roc return in case of private limited company.There is some change in director report with respect to appointement of auditor and also AGM notice with respect to agenda for appointment of auditor.If yes what is the procedure and fees payable for the same.

In case of a private Company, whether it is necessary to appoint a person as Additional Director in Board Meeting before appointing him as Director. Can he be appointed directly as Director in the Board Meeting without being first appointed as Director?
