Can any one please provide me the board resolution formats for rights issue meeting for example:a) approving of draft letter of offer b) appointment of bankers to issue c)to decide the price, total no. of shares, proportion etc....

BEING A LENDER, SHOULD I TREAT SHARE APPLICATION MONEY AS PART OF EQUITY/ NET WORTH OF THE PVT LTS CO., IF ITS AUT CAPITAL IS FULLY SUBSCRIBED AND PAID AND THERE IS NO APPLICATION MADE TO ROC/COMPANY LAW BOARD FOR INCREASE IN AUTH CAPITAL . THE MONEY IS OUT STANDING IN BALANCE SHEET FOR TWO YEARS NOW.

What are the procedures to be followed to change the clause of the partnership deed?
Change-1To Include the remunartion of partners.Our earlier deed does not contain the remunaration of the partners.
Change-2To Change the accounting period.We also want to change the accounting period of partnership.In our previous deed we are following the calender year as the accounting period.

Ours is a private ltd co whose business is to accept tender and execute them.
Whether seperate resolution is required for each tender we apply for.
Also whether separate resolution is required to be passed for making an FD with the bank.

My Query is pertaining to signing of Audited Financial Statement of the Company by a CA and Director of a Company.

If suppose I am CA. What will be date when I will be signing the Audited Balance Sheet?
a) Balance Sheet presented to the Directors, Board of Directors meeting approving the Balance Sheet.
b) Balance Sheet presented to the Share Holders in the AGM.

What will the date in case of Director?

What is the difference between Balance Sheet Date, Audit date and date of signing the reports?
