share transfer in a private limited company

In a private limited company restricted by shares, if one shareholder wants to transfer his shares to another shareholder, can they do so without informing the company?

I have searched out the check list for the Easy exit scheme. In that it had written that there should not have any bank account. Is it talking about overdraft account of the company or about current account?
Pls clarify as it is very urgent.

Company Law Settlement Scheme

A private Ltd company was incorporated on september 2006.It has not filed anyreturns with ROC till date.It now wishes to avail the benefit of the newly introduced settlement scheme.can u please tellthe returns to be filed with ROC(including the period)of first P&L.

Depreciation on assets not owned by company

Can a co claim depreciation on FA on which it does not enjoy ownership rights??Co is claiming depn on expenses incurred after takeover of asset from govt on a lease basis??
