is there any need to intimate ROC if we r transfering the share of a pvt co.

No need at the time of transfer. But when filing annual return particulars of transfer has to be entered in Schedule V of the companies Act,1956.

Agree. Only required to disclose the same in annual return and update register of shareholders.

Yes Pankaj Warrier Sir is absolutely right. Simply update the ROC records at the time of filing of annual return.
