plzzzzz tell me the procedure of appointment of director in a pvt co.

One company has not filed return for last 3 years

Now we have to submit them but out of 7 directors we have DIN of only 1 directors, the directors do not remember their DIN or some of them have no DIN. Now what is the procedure for the confirming how many of the present directors are having DIN?

1.If one share certificate is splitted in to 3 share certificates, is it compulsory to get those share certificates to be get it stamped.
2.Is it compulsory that the stamp should be affixed on the face of the share certificates
3.If the share certificates has been issued in 2005 but the share certificates do not have any stamp duty on the face of the share certificates.

Kindly advice what can be done in all the 3 senarios.

I want to file form 1,18 and 32 for company formation....however the file size of the blak form itself is very high when downloaded from website....and it further increases when i fill the data and signaure.....the attachment MOA and AOA file size are very small say total upto 200 kb.....how can reduce the form size of ...?? i have downloaded the pdf version available on mca website...still facing problem

Sir as per co's act before declaring div. We have 2 transfer certain % of profit of current year to reserves. If in current year there is loss n co pays div from part profits in p&l acc. Then how much can be transfered as in CY There is no profit

What is requirement of filing Form 23 and when it is filed ?

1. On 16th August,10 I filed form 32 for appointment of Director, the appointment of Director has been done in EGM through special business.

2. On 25th August,10 I filed Form 5 and resolution was passed in EGM, capital has also been increased on MCA site.

Is Form 23 required to be filed for above cases?

One Pvt.Ltd. Company changed its name during the f.y.2008-09 but the annual returns and balance sheet of the comapny has been filed up to f.y.2006-07.

Now the CIN no of earlier company has been changed with New Name .

Under this circumtancess how the annual return of f.y.2007-08 could be filed today with old name of the company and CIN of the new changed name.

Under Companues Act what is the effective date for resignation of Director. Is it the date at which resignation is given bt directir or date at which resignation is accepted by Board of Directors.
And while filing E- Form 32 penalty will be calculated from which date.
