Whether a partnership firm in which a company holds more than 50% share can be treated as subsidiary for consolidation?

Dear All,
A private limited company has following defaults.
1. Allotted shares without Board or shareholders resolution.
2. Has never printed share certificates since its incorporation.

Can anyone suggest me, with respect to the above two, what are the relevant sections in which the company has made default?

We are going to take 15% shares of Listed company (Listed on BSE). In this case what is the procedure and what will be the purchasing price of share?
Will it be before Six Months or Average of Six Months?
or The Current Market price of Share.

who should sign board of directors report,
can any of the director can sign or at
least two directors should sign.

If there is a MD what will be the position.

can we file one form 32 for both purpose
1)change in desination from whole time director to managing director
2)ceastion of managing director due to death
3) if the dates are like this
expired on 25th october and appointed new MD on 27th october

can any body draft board resolution for change in designation , with the following information
1)it is private limited company
2)MD expired on 25th october
3)at present there are 3 directors
4)To appoint one Whole time Director( whose age if 76 year as on date) as Managing director W.E.F. 27th october only
5)if compulsory then mention appoitment period
6)mention the date of passing the resolution

while passing a resolution is it compulsory to mention the period of service and whether MD can not be appointed permanantly

can any body help me in drafting a resolution for transmission of share to MD of the company

Transmission is being done because of death of the earlier MD

sir i have filed form 1a and the name has been approved and i have not got any mail or letter from ROC regarding this. i checked through mca website about it's approval and filed form 1. as now i have to send the documents to ROC which includes that letter can you please let me know how can i trace that letter in MCA's website. i have an registered user account in MCA website

if there is a change in address of private company's interstate branch office then we have file any return to concerned ROC . if yes what is the procedure
