While filling the name application of my company i came forward with a clause in the form-1A that is the name of your company is in consonance with the main objectives.

What does it mean? and

What will happen if i will select no. WIll my name application get rejected for selecting no.

In a unlisted company 6 directors are there one is MD one in independent and 4 are part time directors can it is possible to constitute Audit committee comprising of MD, Independent Director and One Part time Director.

A closly held public Ltd. co. filed Form 23, Form 32 and Form 25C in March, 2010 for Appointment of Managing Director and Remuneration of him. But, now the Company has know that the resolution which attached to these forms was wrong. Means the co. wants to pay some fixed amount as remuneration instead of % of net profit as stated in the attached resolution. All these forms were approved. Now What to do. Please guide me in details. Thanks

1. Is gratuity payable to each employee of employers in preview of gratuity act, irrespective of their salary ? like their are limits in ESI.

2. Can some one give more details on Section 4(A): compulsory insurance ?

New private limited company (proposed to be incorporated in Chennai) shall have two shareholders,

where first shareholder is a private limited company, which is represented its MD and

second shareholder is an individual and a nominee shareholder for the first shareholder (who is also the MD of the 1st shareholder i.e. company).

Query :

Whether all the documents (i.e. MOA, AOA and POA) shall have to be signed by the same person, as he plays two roles here.

Whether company should have a mention in it’s Articles of Association regarding the Nominee Shareholder.
