A company has created a charge against its assets at MCA favoring X Bank. Now the same bank has extended further loan against the same assets, with earlier loan still running. i.e. now client has 2 loan against 1 asset, whether I need to file form 8 as creation of charge or modification of charge

THE PROBLEM IS FOR THE OFFICE OF THE ROC AND FILING OF FORM 32 FOR THAT DIRECTOR WHO HAS NO DIN AND WAS APPOINTED IN PHYSICAL FILING PERIOD.
SECTION FOR VACATION AND CESSATION OF DIRECTOR IS IN THE ACT BUT HOW THE INFORMATION OF CESSATION OR VACATION OF OFFICE WILL BE CONVEYED THE ROC AND 32 WILL BE FILED FOR THE SAME

I am Practicing Company Secretary,
One Private Limited Company Whose Authorised and Paid Up Capital is Rs. 40 Cr. approaches me for Certification of form.

But, this company has earlierly appointed another practicing company secretary for their certification and annual filing.

Now my question is that,
What can I do in this case?

If i certify the forms will it amount to Professional Miscounduct.

OR

Tell me the procedure on behalf of that I will able to certify that company?

I have to register a company in which an Italian Co is holding 70% shares and an Indian employed in Italy is holding the balance 30% shares. The italian company's chairman will be signing the MOA and AOA for and on behalf of the Italian Co. Please enlighten me as how to sign these documents by the Italian and Indian abroad. I want to know the presentation of GDRs in the financial statements and also what disclosures have to be given in the notes to accounts.

Is it required to pass a resolution to effect resignation of director? Or he can resign just with a resignation letter.

We submiited Form 1A for availabilty of name -for change existing name- on June.2010, same approved by ROC.Subsequently we filed Form 1B which rejected by ROC. We didn't rectify the same.

Now when we try to upload Form 1B again on May.2010 during prescrutiny following error showin " FORM CANNOT BE ACCEPTED.OBTAIN FRESH NAME APPROVAL REFERENCE NUMBER"

When we try to upload FORM 1A again it is showing 'PROPOSED NAME ALREADY EXISTS FOR SOME OTHER COMPANY'
KINDLY ADVISE WHAT TO DO OBTAIN THE SAME WHICH APPROVED EARLIER

What is the due date for Publication of Financial Results quarterly /half yearly/yearly. Please also provide legal reference like section no etc.
