Can someone provide me with an item of minutes of a board meeting of ink manufacturing company where nothing signifcant was discussed. Or some kind of dummy item to include in minutes?

Q:- I want to know whether Real Estate or Construction compamnies comes under New Guildelines.

In a board meeting there was was no problem about quorum but all the agenda could not be concluded due to time constrain. Hence if a decision is taken to adjourn it to another date to settle the unsettled issues whether can be treated for a valid reason of adjournment?
In this regard AOA is clearly stated that even a board meeting can be adjourned subject to restriction if any otherwise provided by section 285 of the company's Act.

Whether such a reference of AOA give strength the company to go for adjournment in this case? Please suggest.

According to section 318 of Co. Act- No payment to director as compensation is allowed if winding up of company commences within 12 months of his cessation. How one can know at time of cessation of director that company will be wound up after 12 months..???

My question is that which is the major benefit which private limited co enjoys in comparison to public ltd co. and is there any qualification for being a director in case of public limited compnay ??

A pvt ltd company 2 director was exit but out of two one has died and 45 days have been passed . we have not intimate to ROC till now.

now we have to appoint a director so what procedure we will have to follow.

A privae limited co. incorporated in the month of Feb 2011.

The company has not make any business during the said period. Now the directors of the company gave his proposal for winding up of the said company.

Please guide me the appropriate steps of winding up for the said newly incorporated the company.
