A shareholder of a private Co. want to transfer his shares (some) to a party for considreation other than cash.
Consideration is that the other party will let the "Company" use its office space and technology.
does it also require valuation? what to write as value in form 7b ?

One of my client, a private limited co had approached a proprietary firm for loan against property.Can the company has other option to raise the fund without filing section 58A or whether they can raise fund by just filing the papers of scetion 58A but without waiting for the approval from ROC....

our company has implemented ERP and which cost Nealy 30 lakh. i want to know how to change deprecation on it under company law .the life of asset expected 15 years. we are thinking that deprecation is charged on basis of life of assets (cost/15 year). is it OK under companies act?

Dear Sirs,

My query is with respect to appointment of WTD in a Pvt Co.

ABC Pvt Ltd cenvened and held its EGM on 1.08.2011 and passed one resolution appointing Mr. X as Director and immediately next resolution was passed for appointment of Mr. X as WTD.

My query is:

1. Can a person be appointed directly as Director EGM?
2. If yes, then while filing of form 32 for his appintment, how many form 32 have to filed?


What I have understtod from the Companies act is that a person should be a director before being appointed as MD or WTD.

So according to me Company will have to file Form 32 twice. One for appointing him as Director and then another form 32 for Change in designation from Director to WTD.
