The Co. has not filed DIN 3 for any Director being director from 2003. Now in 2011, wen co. is uploading Form 66, it is shown error "Signature Validation failed for signature field for Director. The Person is not authorized to sign on this field"

Inspite of doing Role Check still same error coming up.

However Co. has recently filed F 21 one week ago and same was uploaded properly.

So how do i fix this issue?

Can board authorize any director or some other person to file certain form with ROC, before actually performing that act for which form is filled
For example suppose allotement of shares is made on next day but authority to file that form 2 is given today or same in case of form 5 and others.

I have to file annual return of a co under company law settlement scheme whose status is in default for FY 2007-08........ now i want to know which date should i take while filing date of signing of Annual return by directors.....

i have the annual return which is prepared earlier and is not signed and also not filed.... but i have signed B/s for that year available......

so i want to know in this case can i take date of signing of B/S by directors as date of signing of annual return by directors ?

in case of private limited company having share capital. when should we file annual return 20b, and financials 23ac and 23aca with roc? please tell me the due dates of filing these forms

Can anyone please elaborate me S.256(1) of The Companies Act, 1956 which says that one-third directors shall retire and if, the number (i.e. 1/3rd) is not three or multiple of three, then "the number nearest to one-third" shall be considered.

If Op. Bal. of DTL Rs. 183580/- and Depreciation as per books Rs. 20,38,949/- & as per I.T. Act. Rs. 19,26,336/- then what amt. will be the closing balance under DTL or DTA and what amt will be transferred to PL (Dr. or Cr.)?

A shareholder of a private Co. want to transfer his shares (some) to a party for considreation other than cash.
Consideration is that the other party will let the "Company" use its office space and technology.
does it also require valuation? what to write as value in form 7b ?
