Transfer of shares

24 August 2011 Dear Experts. I need your advice on the given case and also i require the procedure and formalities to be done for the same including all the paper work to be done.

A shareholder of a private Co. want to transfer his shares (some) to a party for considreation other than cash.
Consideration is that the other party will let the "Company" use its office space and technology.
does it also require valuation? what to write as value in form 7b ?

kindly provde me as many details regareding the same.
